IQ BIOMETRIX AND WHERIFY ANNOUNCE S4 DECLARED EFFECTIVE BY SEC
Shareholder Meeting Date Set for Proposed Merger
REDWOOD SHORES, Calif. June 30, 2005 -- IQ Biometrix Inc. (OTCBB:IQBX) and Wherify Wireless, Inc. today announced that the Form S-4 registration statement filed with respect to the shares to be issued in their proposed merger has been declared effective by the Securities Exchange Commission.
Special meetings of the shareholders of both companies will be held on July 19, 2005 to vote on the proposed merger. Shareholders of record at the close of business on May 23, 2005 will be entitled to vote at the special meetings and will be mailed the proxy statement and prospectus.
The special meeting of Wherify shareholders will take place at 9:00 a.m. Pacific Standard Time at Wherify headquarters located at 2000 Bridge Parkway in Redwood Shores. The special meeting of IQ Biometrix shareholders will be held at 11:00 a.m. Pacific Standard Time at the same location.
